TERMS AND CONDITIONS
1. INTRODUCTION
These Terms and Conditions (“Terms”) constitute a legally binding agreement between Asure Pro Pte Ltd (UEN: 202038566H) (“Asure Pro”, “we”, “us”, “our”) and users (“User”, “you”, “your”) of the Culture Cartel 2025 virtual event platform (“Platform”). Asure Pro operates the Platform from its registered office at 105 CECIL STREET #23-03 THE OCTAGON SINGAPORE (069534). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not accept these Terms in their entirety, you must not use the Platform.
2. DEFINITIONS
For the purposes of these Terms, “Platform” refers to the virtual event platform operated by Asure Pro for Culture Cartel 2025, including all its features, content, and functionality. “User” encompasses any individual or entity accessing or using the Platform. “Content” includes all material appearing on the Platform, including but not limited to text, graphics, logos, images, audio, video, and live streams. “Virtual Ticket” refers to the digital access rights purchased for the Platform.
3. PLATFORM ACCESS AND REGISTRATION
Eligibility for Platform access requires users to be at least 13 years of age. Users between 13 and 18 years must obtain parental or guardian consent before registration. During the registration process, users must provide accurate, current, and complete information. False, inaccurate, or misleading information will result in immediate account termination.
Users are solely responsible for maintaining the security of their account credentials and must notify Asure Pro immediately of any unauthorized access or security breaches. Account sharing is strictly prohibited. Each Virtual Ticket grants access rights to a single user and may not be transferred or shared.
Access periods are based on Singapore Time (GMT+8). Users may access the Platform through supported devices within the limitations of their ticket type.
4. TECHNICAL REQUIREMENTS
The Platform requires users to maintain specific technical standards to ensure optimal performance. Users must maintain a minimum internet speed of 5 Mbps, with 10 Mbps recommended for high-definition content streaming. Users are responsible for ensuring their devices meet the Platform’s compatibility requirements, including supported web browsers and operating systems.
5. PLATFORM OPERATION AND SERVICE STANDARDS
Asure Pro maintains a service uptime target of 99.9% during official event hours. Regular maintenance windows will be scheduled and communicated to users in advance through registered email addresses and Platform notifications. Emergency maintenance may be conducted without prior notice when necessary to maintain Platform security or stability. Users acknowledge that occasional service interruptions may occur and that Asure Pro is not liable for interruptions beyond its reasonable control.
6. CONTENT AND INTELLECTUAL PROPERTY
All Platform Content remains the exclusive property of Asure Pro, Culture Cartel, or their respective licensors. The Platform and its Content are protected by copyright, trademark, and other intellectual property laws of Singapore and other countries. Users receive a limited, non-exclusive, non-transferable license to access and view Content solely for their personal, non-commercial use in accordance with these Terms.
Users are expressly prohibited from recording, downloading, modifying, publishing, transmitting, distributing, performing, displaying, or selling any portion of the Platform or its Content. Any unauthorized use of Platform Content may result in immediate account termination and potential legal action.
7. USER-GENERATED CONTENT AND SUBMISSIONS
Users retain ownership of content they create and submit to the Platform. By submitting content, users grant Asure Pro and Culture Cartel a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the content in connection with the Platform and business operations, including for promotional purposes.
8. VIRTUAL RAFFLE SYSTEM
The Virtual Raffle operates as an integral part of the Platform experience. Virtual Tickets automatically include raffle entries based on ticket type. 1-Day Pass includes one virtual raffle entry. Raffle entries are non-transferable and non-exchangeable.
Winner selection occurs through an automated random selection process. Winners will be notified through their registered email addresses and must respond within the specified timeframe to claim their prizes. Winners must complete all required verification procedures and may be required to provide identification documents before prize collection.
Asure Pro maintain sole discretion over all aspects of the raffle system, including but not limited to prize allocation, winner selection, and prize distribution. Prizes shown or advertised are subject to change at any time without prior notice, provided that any substitutions will be of comparable value. The determination of comparable value shall be at the sole discretion of Asure Pro.
Winners acknowledge and agree that prizes may differ from those advertised in terms of brand, model, colour, or specific features while maintaining similar value. No compensation or alternatives will be offered based on such changes. Unclaimed prizes or prizes forfeited due to non-compliance with verification procedures may be reallocated or withdrawn at our sole discretion.
Prize values are stated in USD and any tax implications or additional costs associated with prize collection shall be the sole responsibility of the winner. By participating in the raffle, users acknowledge and accept these conditions and agree that all decisions regarding the raffle system are final and binding.
9. PAYMENT AND FINANCIAL TERMS
All Platform transactions are processed in United States Dollars (USD). Payment processing is conducted through secure third-party payment processors. Users must warrant that they possess the legal right to use any payment method provided. Transaction fees, where applicable, will be clearly displayed before purchase completion.
10. PAYMENT, REFUNDS AND CANCELLATION POLICY
All purchases made on the Platform are final and non-refundable. This includes, without limitation, virtual tickets, digital merchandise, platform access, and any other products or services offered through the Platform. Users expressly acknowledge and agree that no refunds will be provided regardless of circumstances, including user-side technical issues, internet connectivity problems, device compatibility issues, scheduling conflicts, or inability to attend or participate in the virtual event.
In situations where users experience technical difficulties, including server downtime within reasonable maintenance periods, force majeure events, or modifications to event programming or content, Asure Pro maintains its strict no-refund policy. This policy extends to cases involving changes in virtual prizes, rewards, or any other platform features.
Asure Pro may, at its sole and absolute discretion, consider partial compensation in extraordinary circumstances where technical failures on our end completely prevent platform access for the entire event duration. Such compensation, if granted, shall be limited to platform credits or alternative offerings not exceeding the original purchase price. The determination of both the form and value of any compensation remains exclusively at Asure Pro’s discretion.
11. LIMITATION OF LIABILITY AND DISPUTE RESOLUTION
Users expressly acknowledge and agree that Asure Pro’s maximum aggregate liability for any claims arising from or relating to the Platform shall not exceed the amount paid for the virtual ticket. Any dispute or claim must be submitted in writing to Asure Pro within twenty-four (24) hours of the incident giving rise to such claim. Users must provide comprehensive documentation supporting their claim.
The resolution of any disputes shall be determined exclusively by Asure Pro, whose platform data logs shall be considered definitive and conclusive evidence of all platform activities and transactions. Asure Pro’s decisions regarding any disputes are final and binding upon all parties.
Any legal proceedings arising from or relating to these Terms must be filed exclusively in Singapore courts. Users expressly waive any right to participate in class action lawsuits against Asure Pro. Users shall bear all legal costs and expenses associated with any disputes unless otherwise mandated by applicable law.
12. USER CONDUCT AND COMMUNITY STANDARDS
Users must conduct themselves professionally and respectfully while using the Platform. Asure Pro prohibits any behaviour that harasses, degrades, intimidates, or discriminates against any individual or group. Users may not engage in activities that disrupt or interfere with the Platform’s operation or other users’ experience. This includes attempts to gain unauthorized access, introduce malicious software, or circumvent Platform security measures.
13. PRIVACY AND DATA PROTECTION
The collection, use, and protection of user information are governed by our Privacy Policy, which is incorporated into these Terms by reference. Asure Pro complies with Singapore’s Personal Data Protection Act (PDPA) and other applicable data protection laws. Users acknowledge that their continued use of the Platform constitutes consent to our data practices as outlined in the Privacy Policy.
14. FORCE MAJEURE
Neither Asure Pro nor Culture Cartel shall be liable for any failure or delay in performing obligations under these Terms where such failure or delay results from circumstances beyond reasonable control. Such circumstances include, but are not limited to, acts of nature, war, civil unrest, terrorist actions, government regulations, power failures, internet disruptions, or widespread technical difficulties. During force majeure events, affected obligations shall be temporarily suspended until conditions normalize.
15. LIABILITY AND DISCLAIMERS
The Platform is provided on an “as is” and “as available” basis. Asure Pro makes no warranties, express or implied, regarding the Platform’s availability, accuracy, reliability, or fitness for a particular purpose. While we strive to maintain high-quality service, we cannot guarantee uninterrupted, secure, or error-free operation.
Our aggregate liability under these Terms shall not exceed the amount paid by the user for their Virtual Ticket. In no event shall we be liable for indirect, incidental, special, exemplary, or consequential damages, including lost profits, regardless of the theory of liability.
16. INDEMNIFICATION
Users agree to indemnify, defend, and hold harmless Asure Pro, Culture Cartel, their affiliates, officers, directors, employees, agents, and licensors from any claims, damages, expenses, or costs (including reasonable attorneys’ fees) arising from their use of the Platform, violation of these Terms, or infringement of any third-party rights.
17. DISPUTE RESOLUTION
Any dispute arising from these Terms shall be governed by Singapore law. Parties agree to first attempt resolution through good-faith negotiations. If negotiations fail, disputes shall be resolved through mediation under the Singapore Mediation Centre’s rules. Any dispute not resolved through mediation shall be subject to the exclusive jurisdiction of Singapore courts.
18. TERMINATION AND SUSPENSION
Asure Pro reserves the right to suspend or terminate user access to the Platform for violations of these Terms or for any other reason at our sole discretion. Upon termination, users must cease all Platform use immediately. Sections pertaining to intellectual property, liability, indemnification, and dispute resolution shall survive termination.
19. AMENDMENTS AND MODIFICATIONS
Asure Pro reserves the right to modify these Terms at any time. Material changes will be communicated through the Platform or via registered email addresses. Users will be required to acknowledge updated Terms before continuing Platform use. Continued use of the Platform following any modifications constitutes acceptance of the updated Terms. Users who disagree with the modified Terms must discontinue Platform use immediately.
20. SEVERABILITY AND WAIVER
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. No waiver of any term shall be deemed a continuing waiver or a waiver of any other term. Asure Pro’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
21. ASSIGNMENT AND SUCCESSION
Users may not assign or transfer their rights or obligations under these Terms without prior written consent from Asure Pro. Asure Pro may assign its rights and obligations under these Terms without restriction. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
22. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between users and Asure Pro regarding Platform use. These Terms supersede any prior agreements, understandings, or representations, whether oral or written, regarding the subject matter herein.
23. NOTICES AND COMMUNICATIONS
All notices related to these Terms must be in writing and shall be effective upon:
– Delivery to the email address associated with your account
– Posting on the Platform for general notices to all users
– Written notice delivered to Asure Pro’s registered address
